Dixie Madden, Professor of Law

Dixie was born in Garden City, Kansas, and graduated from Garden City
High School. She earned her bachelor of science degree with a major in
mathematics at Kansas State University. She entered law school at Ohio
State University and graduated cum laude with her juris doctor degree.
Prior
to commencing post-doctorate studies at New York University, she served
as a staff attorney for the Legal Aid Society of Columbus and Assistant
Attorney General for the state of Ohio, and taught in the clinical
programs at Ohio State University’s Moritz College of Law and the
Washburn University School of Law. She earned her post-doctorate Master
of Law (LL.M.) degree in corporation/securities law from New York
University.
She has practiced business law in Wichita since
1985 with the firms of Fleeson, Gooing, Coulson & Kitch L.L.C. and
the Adams Jones Law Firm and continues to serve as Of Counsel with
Adams Jones. She also served as dean and professor of law of Presidents
College School of Law in Wichita, Kan., from 2001 until it closed in
2003. She assumed her current positions with Friends University in the
fall of 2003.
Her legal experience in business matters is
extensive. She has worked with clients in forming for-profit,
not-for-profit and professional businesses, using C corporations, S
corporations, partnerships and limited liability companies. She has
assisted business clients with many types of agreements and documents,
including organizational documents, buy-sell agreements, transfer
restrictions, ownership transfers, employment agreements, management
agreements, license agreements, lease agreements, loan agreements,
security agreements and UCC filings. She also has represented clients
in the sale and purchase of businesses, including conducting due
diligence; preparing the asset purchase, stock purchase or merger
agreement; preparing appropriate exhibits and schedules; making
necessary filings; and closing the transactions.
She is also
experienced in securities law, health law and employee benefits law.
She has represented clients in conducting public offerings with
numerous state filings, prepared private placement memoranda for
private offerings, and advised clients regarding federal and state
requirements for the sale and transfer of securities. In health law,
she has assisted physicians and physician groups with business law
matters and compliance matters involving Medicare, Medicaid, Stark II,
anti-kickback, false claims, compliance plans, managed care and
long-term care. She has also assisted many clients in dealing with
employment issues and implementing and maintaining employee benefit
plans under federal law.
She is an active member of the
Wichita Bar Association, the Kansas Bar Association, the American Bar
Association and the American Health Lawyers Association, and has served
on numerous bar committees. She has served on the board of trustees of
the Wichita Children's Home and other community organizations. She is
currently on the board of the Women's Research Institute and is a
member of the Downtown Rotary Club of Wichita. She has received the national honor and distinction of "Best Lawyers in America" in the areas of corporate law and healthcare law since 2006, which is the result of an annual professioal peer review and selection process.
